These Terms of Service (“Terms”) govern your access to and use of Studio, operated by Circles Co Technologies (“we,” “us,” or “our”). By creating an account or using Studio, you agree to these Terms.

Your account

You must provide accurate information and are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

Acceptable use

You agree not to misuse Studio. You will not: violate any law; infringe others’ rights; upload malicious code; attempt to gain unauthorized access to the service or its systems; or use Studio to send unlawful, harassing, or deceptive communications.

Your content

You retain all rights to the content and data you put into Studio. You grant us a limited license to host, process, and display that content solely to provide the service. You are responsible for your content and for having the rights and consents needed to use it.

Plans, billing, and payments

• Paid plans are billed in advance on a recurring basis. Fees are non-refundable except where required by law.
• Payment processing fees charged by our payment processor (such as Stripe) pass through to you without markup.
• We may change our prices; we will give reasonable notice before changes affecting you take effect.
• You may cancel at any time; cancellation takes effect at the end of the current billing period.

Availability and changes

We work to keep Studio available and reliable but do not guarantee uninterrupted service. We may add, change, or remove features over time.

Termination

You may stop using Studio at any time. We may suspend or terminate access if you violate these Terms or to protect the service or other users. Upon termination you may export your data for a reasonable period unless prohibited by law.

Disclaimers

Studio is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, Circles Co Technologies will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Texas.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the effective date and, where appropriate, provide additional notice. Continued use of Studio after changes take effect constitutes acceptance.
